Draft v0.1 — under legal review; not yet in force. Published for transparency while counsel settles the text.

Adda 365 — Terms of Service

DRAFT v0.2 · 30 August 2026 · For counsel review — not yet in force. v0.2 incorporates the international annex: market schedule, per-market rails, and market-specific supplemental terms. Square-bracketed items are placeholders the founder/counsel must fill.

These Terms govern your use of the Adda 365 mobile applications and website (adda365.in) (together, the "Service"), operated by [Company name], a company incorporated under the Companies Act, 2013 with registered office at [address] ("we", "us"). By creating an account you accept these Terms and our Privacy Policy and Community Guidelines, which are part of these Terms.

1. Who can use Adda 365

1.1 You must be at least 18 years old. This is not a checkbox: age is verified through DigiLocker or an equivalent government-backed check before any social feature unlocks. We never knowingly permit a person under 18 to use the Service, and we do not process children's data (DPDP Act 2023, §2(f), §9). If we learn an account belongs to a minor, we terminate it and delete its data.

1.2 You must be capable of contracting under the Indian Contract Act, 1872, use your own identity, and hold no more than one account. Accounts are personal and non-transferable.

1.3 The Service is offered only in the markets listed in Schedule A, and in each market only once a country-specific, government-backed identity verification rail is available — that availability is a condition of launch, not a convenience. You must be 18+ everywhere we operate, even where local law sets a lower age of majority: 18 is our floor, worldwide.

1.4 Market-specific supplemental terms in Schedule B apply to you based on your market and prevail over the general terms to the extent of any conflict or where required by your local mandatory law. Nothing in these Terms reduces rights your local consumer or data-protection law grants that cannot be waived.

2. Verification

2.1 To protect everyone, we require: (a) a government-backed age check through your market's rail in Schedule A (in India, DigiLocker returns only a yes/no "over 18" answer — we never receive or store your date of birth or Aadhaar number; other rails are configured to disclose the minimum equivalent); (b) a liveness selfie to deter impersonation; and optionally (c) a student check (college email or ID card; ID images are deleted the moment a reviewer decides).

2.2 Verification badges describe checks we ran, not guarantees about a person. Meet first in public places; our safety features supplement, never replace, your judgment.

3. Your content

3.1 You retain ownership of the content you post. You grant us a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, and display it solely to operate and improve the Service. This licence ends when you delete the content or your account, except (a) content shared with others remains visible to them in their conversations, and (b) material we must retain for legal compliance or safety investigations.

3.2 AI-generated content declaration. Under the IT (Intermediary Guidelines) Amendment Rules, 2026, you must tell us when content you upload is synthetically generated (AI-created or AI-altered to appear authentic). Synthetic profile photos and deepfakes of real persons are prohibited regardless of declaration. We may label, restrict, or remove synthetic content and may embed provenance metadata where technically feasible; you must not remove such labels.

3.3 You warrant your content does not infringe anyone's rights and is not prohibited by law or Rule 3(1)(b) of the IT Rules, 2021 (as amended).

4. Rules of conduct

The Community Guidelines are binding. In brief: no harassment, no non-consensual intimate imagery, no commercial solicitation or scams, no impersonation, no minors, no off-platform misuse of anything you learn here. We operate a moderation system that may warn you before a message sends, attach warnings to suspicious messages, queue content for human review, and escalate to enforcement.

4A. Fraud-ban notifications

If we ban an account for fraud, we notify every member who exchanged messages with it, promptly and identifying the banned profile — so you can re-assess anything it told you. (This implements the notice contemplated by the US Romance Scam Prevention Act and is our practice in every market.) Never send money to someone you met on the Service.

5. Paid features

5.1 Some features (e.g., mixer tickets) cost money. Prices include GST and are shown before you pay. Payments are processed by an RBI-regulated payment aggregator; we never receive or store your card or UPI credentials.

5.2 Cancellations and refunds (Consumer Protection Act, 2019 and E-Commerce Rules, 2020): a mixer ticket is refundable in full if the event is cancelled, if the organiser changes the venue/time materially, or if you cancel at least [48] hours before start. Where a gender-balance or capacity rule prevents your entry after purchase, you receive a full refund. Refunds return to the original payment method within statutory timelines.

5.3 Virtual items and consumables have no cash value and are non-refundable once consumed, except as consumer law requires.

6. AI features

The intake interview and the chat coach are powered by a third-party large language model. Their output is generated assistance, not human advice, and may be imperfect. Coach suggestions are private to you, are never sent on your behalf, and are rate-limited. We do not use AI to make legally significant automated decisions about you without human review; enforcement decisions involve human moderators.

7. Message integrity and evidence

To keep the platform safe and disputes honest, messages are stored encrypted and protected by cryptographic integrity records (hash chains anchored daily with an independent timestamping authority). We can produce tamper-evident records where the law compels it (Bharatiya Sakshya Adhiniyam, 2023 §63), under the procedure in our published evidence policy. We do not sell or monetise message content, ever.

7A. Vibe Check calls

Brief audio/video interviews start only when both users accept, run on our own call infrastructure, and can be ended by either person at any time. Calls are never recorded. For safety, an automated monitor samples moments of live calls (disclosed at the accept step); samples are analyzed and immediately discarded unless they indicate unlawful or prohibited content — a flagged sample is preserved as evidence, the call is ended, and a human reviews it. Metadata (who, when, how long, how it ended) is retained like any other platform activity.

8. Safety and wellness content

Articles, doctor Q&A, and support circles provide general information only — not medical advice, diagnosis, or treatment (Telemedicine Practice Guidelines, 2020). Doctor answers are written by registered medical practitioners in anonymised, general form. If you are in crisis, contact the helplines shown in the app (e.g., Tele-MANAS 14416); the Service is not an emergency service.

9. Enforcement, suspension, termination

9.1 We may warn, feature-limit, suspend, or ban accounts for breach of these Terms or the Guidelines, with severity proportionate to harm. Suspension revokes active sessions. Where lawful, we state the reason.

9.2 You may appeal any enforcement decision through the Grievance Officer (§12), and thereafter to the Grievance Appellate Committee constituted under the IT Rules (§12.3).

9.3 You can delete your account at any time in Settings; deletion follows the Privacy Policy's erasure procedure.

10. Disclaimers

The Service is provided "as is" to the extent permitted by law. We do not guarantee matches, outcomes, or the conduct of other users. Nothing in these Terms limits rights you have under the Consumer Protection Act, 2019 or excludes liability that cannot lawfully be excluded (including for fraud or gross negligence).

11. Liability

To the extent permitted by law, our aggregate liability for claims arising from the Service is limited to the greater of ₹[5,000] or the amounts you paid us in the 12 months before the claim. We are not liable for indirect or consequential loss. These limits do not apply to statutory consumer remedies, death or personal injury caused by our negligence, or our fraud.

12. Grievances

12.1 Grievance Officer: [Name], [email], [postal address]. We acknowledge complaints within 24 hours and resolve them within 15 days; complaints about content prohibited under Rule 3(1)(b) within 72 hours; non-consensual intimate imagery within 24 hours of report, and synthetic (deepfake) intimate imagery or impersonation within the shorter timelines the 2026 Amendment Rules prescribe.

12.2 Nothing here limits your right to approach the Data Protection Board of India (for personal-data grievances) or a consumer forum.

12.3 Appeals against the Grievance Officer's decision lie to the Grievance Appellate Committee (gac.gov.in) within 30 days.

13. Changes, governing law

13.1 We may update these Terms; material changes are notified in-app at least [7] days in advance, and continued use after the effective date is acceptance. Each version is archived and dated.

13.2 These Terms are governed by Indian law. Subject to statutory consumer forums' jurisdiction, courts at [city] have exclusive jurisdiction. [Counsel: consider an arbitration clause — seat, institution, and consumer-dispute carve-out required if adopted.]

Schedule B — Market-specific supplemental terms

B.1 United Kingdom. Complaints about illegal content or our handling of reports may be raised through the in-app reporting flow and the Grievance contact in §12; we operate the complaints and risk-assessment processes the Online Safety Act 2023 requires of user-to-user services. These Terms do not exclude liability that cannot be excluded under UK consumer law.

B.2 European Union / EEA. Where EU consumer law applies: for paid digital services you have a 14-day right of withdrawal; by purchasing instant-delivery digital items (e.g., a mixer ticket consumed before the period ends) you request immediate performance and acknowledge the corresponding loss of withdrawal to the extent performed. Statutory guarantees of conformity are unaffected. GDPR rights are set out in the Privacy Policy.

B.3 United States. The Service is offered only in states where a Schedule A rail operates. Nothing here waives non-waivable rights under your state's law. [Counsel: US dispute-resolution/arbitration language and state-specific disclosures to be settled before US launch.]

B.4 India. The grievance mechanism in §12, the Grievance Appellate Committee route, and consumer-forum rights apply as stated.
